Paid Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you and Terrasoft Inc ("we," "us," or "our"), the operator of the Paid mobile application (the "App"). By downloading, accessing, purchasing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility and business use

You must be at least 18 years old and legally able to enter into a contract. The App is designed for business and professional invoicing. You are responsible for deciding whether it is appropriate for your business and lawful in every place where you use it.

If you use the App for an organization, you represent that you have authority to bind that organization. "You" then includes both you and the organization.

2. What Paid does

Paid helps you create and manage invoices, estimates, client records, saved items, expenses, reports, and PDF documents on a compatible Apple device. It may also let you add payment instructions or a third-party payment link, select contact information and images, schedule local notifications, export information, and share documents through services you choose.

The App is local-first. Your business records, customer records, documents, expense records, and selected images are stored on your device and are not uploaded to or synchronized with our backend. If you use Sign in with Apple, we send the Apple identity token to Terrasoft's separate backend for verification. The backend returns a session token that is stored in the device Keychain and may maintain limited account and billing records. Signing in does not create cloud backup or synchronization for your invoices, clients, or other business records. Review the Privacy Policy for details.

Features may change, be limited, or be discontinued. You are responsible for keeping independent copies of records you need for business, tax, legal, or accounting purposes.

3. Your records and responsibilities

You retain ownership of information and materials you enter, import, generate, or store through the App ("User Content"). You give us only the limited rights needed to operate the App on your device. Because the current App has no operator backend, we do not take custody of your invoice or customer database.

You are solely responsible for:

Do not use the App to create fraudulent, deceptive, unlawful, infringing, abusive, or harmful content. Do not attempt to reverse engineer, disrupt, bypass purchase controls, or misuse the App, except to the extent applicable law expressly permits.

4. Contacts, photos, sharing, and notifications

If you choose a contact, the App may copy fields from the selected record, such as name, email address, phone number, and postal address, into a local client record. If you choose an image, the App may store a local copy for uses such as a business logo or expense receipt. You are responsible for having permission to use that information and those images.

When you export or share a PDF, CSV, link, or other content, the destination service and recipient are selected by you. Their terms and privacy practices apply after the information leaves the App.

Local notifications may include invoice numbers, customer names, amounts, due dates, or trial information. Notification previews can appear on a locked screen depending on device settings. You control notification permission and preview settings in iOS. Invoice notifications remind you to take action. They do not guarantee that a message will be delivered to, seen by, or acted on by your customer.

5. Payment instructions and third-party services

The App may place payment instructions, bank-transfer details, a QR code, or a link to a service such as Stripe, PayPal, Square, Zelle, or another provider on a document. That customer-facing feature is separate from Paid's own subscription billing. We do not process your customer's invoice payment, hold customer funds, verify your payment details, or act as a bank, money transmitter, payment processor, collection agency, or escrow service. Your agreements with payment providers and customers govern those transactions. You are responsible for fees, disputes, refunds, chargebacks, security, and compliance related to those services.

For eligible Paid purchases, Stripe processes payment information and checkout on Terrasoft's behalf. Google Cloud hosts the separate account and billing backend and its Firestore records. Vercel hosts Paid's public website and legal pages. Apple provides Sign in with Apple and, when applicable, App Store billing. These providers' terms and privacy practices also apply. We do not control their services and are not responsible for their availability, security, content, or conduct, except to the extent applicable law provides otherwise.

6. Purchases, subscriptions, and lifetime access

Paid uses a hybrid billing system. When Terrasoft enables web billing and the service confirms that a signed-in user is eligible in the United States, Paid may offer checkout through Stripe. If web billing is disabled, the user's location is not eligible or cannot be confirmed, the user is not signed in, or the billing service is unavailable, Paid uses Apple in-app purchase. The production web-billing switch is currently off. We may enable it after operational and legal review.

The price, currency, taxes, plan, renewal terms, and introductory terms displayed at the final Stripe Checkout or Apple purchase confirmation control your purchase. Do not complete a purchase unless those terms are acceptable.

Stripe annual subscription

For an eligible web purchase, Paid opens Stripe Checkout in Safari and returns to the App through a deep link. The current intended annual offer charges a one-time $1 introductory amount at checkout, begins a 3-day subscription trial period, and then charges $99.99 per year unless canceled. This is not a free offer because the $1 introductory amount is charged. The exact terms displayed by Stripe at checkout control.

The annual plan automatically renews and Stripe charges the payment method on file for each renewal unless you cancel before the next charge. You can manage or cancel a Stripe-billed subscription through Paid's Stripe customer portal, available from the App while signed in to the associated account. Cancellation normally stops future renewals and does not retroactively refund amounts already charged. Access generally continues through the paid period, subject to the checkout terms, refund, chargeback, payment failure, and applicable law.

A browser return or deep link does not by itself grant access. Terrasoft verifies the Checkout session and uses signature-verified Stripe webhooks and the authenticated entitlement service to determine access. Processing delays may occur.

Apple annual subscription

When Apple billing applies, the annual plan is an auto-renewing subscription processed through the App Store. Payment is charged to your Apple Account when you confirm the purchase. Unless you cancel, the subscription renews automatically for another annual period at the price presented by Apple. Apple may charge your account within 24 hours before the current period ends. You can manage or cancel it in your Apple Account subscription settings. Cancellation takes effect at the end of the then-current paid period unless Apple or applicable law provides otherwise.

If Apple presents an introductory offer, the price, duration, eligibility, conversion, and renewal terms shown on Apple's purchase screen control. Any renewal reminder is a convenience only. Failure or denial of a notification does not change your renewal or cancellation responsibility.

Lifetime purchase

The lifetime option is intended as a one-time, non-renewing purchase, processed by Stripe for eligible web-billing users or by Apple as a non-consumable in-app purchase for the fallback path. "Lifetime" means access associated with the account or purchase record for as long as we continue to make that product and its compatible functionality available. It does not promise that the App, every feature, or compatibility with future hardware or operating systems will exist forever. Counsel must confirm this definition before publication.

Accounts, restores, refunds, and billing support

Stripe web billing requires Sign in with Apple so that Terrasoft can associate checkout and entitlement records with the correct account. Keep access to the same Apple sign-in credential. Signing out removes the local backend session token but does not cancel a Stripe subscription or delete backend billing records. Contact brennan@terrasoft.co to request account or billing-data deletion, subject to records we must retain for transactions, fraud prevention, tax, accounting, disputes, and legal compliance.

Eligible Apple purchases may be restored using the same Apple Account. Stripe-billed access is restored after signing in with the associated Apple credential and confirmation by Terrasoft's entitlement service.

For Apple purchases, Apple controls billing and refunds, and Terrasoft cannot issue an App Store refund directly. For Stripe purchases, contact brennan@terrasoft.co. Except where the checkout terms or applicable law provide otherwise, payments are nonrefundable. Canceling a subscription does not automatically create a refund. We may suspend or reverse an entitlement following a refund, chargeback, failed payment, or fraudulent transaction.

7. No tax, legal, accounting, or collection advice

Paid is a recordkeeping and document-generation tool. It does not provide legal, tax, accounting, financial, credit, debt-collection, or professional advice. Calculations, status labels, reminders, and reports are conveniences and may not satisfy rules that apply to your location, trade, transaction, or customer. Tax settings do not determine taxability or file returns. An invoice or estimate generated by the App is not guaranteed to be legally sufficient, enforceable, collectible, or accepted by any authority. Consult qualified professionals.

8. License and intellectual property

Subject to these Terms and your compliance with them, we grant you a limited, personal, nonexclusive, nontransferable, non-sublicensable, revocable license to install and use the App on Apple-branded devices you own or control, as permitted by the App Store Usage Rules. The App, its software, design, branding, and non-user content are owned by us or our licensors and are protected by intellectual property laws. No rights are granted except as expressly stated.

If you send feedback, you permit us to use it without restriction or compensation, provided we do not identify you publicly without permission.

9. Availability, updates, and data loss

The App may be unavailable, contain errors, or change due to maintenance, device conditions, operating-system changes, legal requirements, or other reasons. Updates may be required for continued use.

Local storage can be lost if your device is lost, damaged, reset, replaced, or if the App is deleted. Signing in authenticates account and eligible billing functions only. It does not back up or synchronize your business records. Although Apple device backup may preserve some app data depending on your Apple settings, we do not control or guarantee Apple backups. Export and retain independent copies of important records.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, THAT DATA WILL NOT BE LOST, THAT CALCULATIONS OR DOCUMENTS WILL MEET LEGAL REQUIREMENTS, OR THAT YOU WILL BE PAID.

Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Terrasoft Inc AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, TAX BENEFITS, OR COLLECTIONS, ARISING FROM OR RELATED TO THE APP OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100.

These limits do not apply where prohibited by law. Counsel must review the cap and any required consumer-law exceptions.

12. Indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless Terrasoft Inc and its affiliates, owners, officers, employees, contractors, and licensors from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising from your User Content, your invoices or business, your violation of these Terms or law, or your infringement of another person's rights. This section does not apply to the extent prohibited by applicable law.

13. Suspension and termination

You may stop using the App at any time. We may suspend or terminate access if you materially violate these Terms, create legal or security risk, or if we discontinue the App. Termination does not automatically cancel an Apple subscription. You must cancel through Apple. Sections that by their nature should survive will survive, including ownership, disclaimers, liability limits, indemnity, disputes, and payment obligations.

14. Governing law and disputes

These Terms are governed by the laws of California, without regard to conflict-of-law principles, except to the extent the law where you live requires otherwise. Subject to any mandatory consumer rights, the state and federal courts located in San Mateo County, California will have exclusive jurisdiction over disputes arising from these Terms or the App.

These Terms do not include an arbitration agreement or class-action waiver.

15. Apple terms

These Terms are between you and us, not Apple. Apple is not responsible for the App or its content and has no obligation to provide maintenance or support. If the App fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, as provided by its rules. To the maximum extent permitted by law, Apple has no other warranty obligation. We, not Apple, are responsible for addressing claims concerning the App, including product-liability, legal-compliance, and intellectual-property claims, subject to these Terms and applicable law.

You represent that you are not located in a country subject to a U.S. government embargo and are not listed on a U.S. government prohibited or restricted parties list. You must comply with applicable third-party terms when using the App. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce this section against you.

16. Changes to these Terms

We may update these Terms. We will change the "Last updated" date and provide any additional notice required by law. Changes apply prospectively when effective. If you do not agree to revised Terms, stop using the App and cancel any subscription before its next renewal.
